The Central Bank continues its educational activities to promote transparency and legal compliance in the securities market. As the next step in this direction, it has developed template prospectus documents, taking into account the types of issuers and documents, within the framework of the Regulations on Requirements for Prospectus and Information Memorandum (the "Regulations").
The newly developed templates were designed to minimize errors in the preparation of prospectuses and information memoranda, improve the quality of documents overall, and streamline the document preparation process for issuers and underwriters.
The template documents also include explanatory notes on the items reflected in the Regulations. Particular attention has been given to preparing explanatory notes on items that generate the most questions and where shortcomings are most frequently encountered in practice. These notes are intended to serve as a practical tool for issuers during document preparation, allowing for more flexible and accurate implementation of the process.
Additionally, the Central Bank has prepared licensing procedure guidelines to provide a more complete understanding of the regulatory framework for those licensed in the capital market. The guidelines detail the licensing process, including the necessary documents and information, application processing deadlines, and grounds for license revocation.
